In accordance with the successful business tradition of Raiffeisen banka, we are proud to present our Investment Banking Department, a team made up of seasoned professionals who will justify the trust placed in them by their dedication to business and their commitment to your needs.  The Investment Banking Department has been in the Serbian market since June 2005, and in this period our services have predominantly been directed towards institutional clients. 

Our wish is to use our rich expertise acquired in this way and to focus our business on local clients as well, both legal entities as well as private individuals. This way, we will be able to offer to all our clients service packages with professionalism and efficiency as their main features.

Raiffeisen was the first bank in Serbia to obtain a license for custody business, and thus made pioneering steps in developing custody services in the local market. Apart from standard services of clearing and settlement, we offer a wide range of custody products for local and foreign clients.

As a member of Raiffeisen Group, making use of expertise from similar, but also from the most developed markets, we can offer all kinds of services in accordance with the local regulations. Centering new product development on our clients needs while maintaining the quality of services at international standards, we are the leading bank as per the volume and number of transactions that are being carried out through our account. Custody services

  • Clearing and settlement services

    All trading on the stock exchange is settled with simultaneous transfer of money and securities. The settlement process of buying and selling securities is fully automated, as is the procedure of daily synchronization of the securities account balance with the Central Securities Register database. 

  • Intelligence services

    The bank informs clients as regards corporate events and acts as an intermediary with the aim of realizing rights arising from securities. 

  • Representation services

    We represent clients at shareholders’ assemblies on the basis of the client’s power of attorney.  

  • Income collection services

    We approve income, such as dividends, coupon collection and other income based on ownership of securities, at our clients’ accounts with currency at the date of payment. We confirm that the calculation and payments were made correctly for all payments.  

  • Custody services for funds

    The service of administering funds is fully automated, including electronic data exchange with the asset management company. Apart from that, the bank offers a wide range of administrative services when registering and maintaining securities accounts, as well as creating reports for state institutions and numerous supervisors in charge. This way, prevention and data security against irregularities that may arise in operational work is provided in full.

  • Information services

    The bank is informing clients regularly as regards all relevant events in the market, with its “Newsflash“ information service.

  • Emission agent activities

    Based on a corporate agency contract, we perform these activities for the securities issuer, including the following: checkup of conditions required for a new emission of securities, communicating with the Central Securities Register, communicating with the Securities Commission, organizing presentations for potential investors from Serbia and abroad, marketing presentations, advertising, etc.

  • Underwriter activities

    These activities include organizing the issuing (distribution) of securities and are performed on the basis of a corporate agency contract (contract on taking over the emission) which means that we are undertaking the obligation from our side to purchase the whole securities emission from the issuer (for further distribution) or just the part that remains unsold after the expiry of the booking and payment period.   

  • Corporate agency

    These activities, performed based on corporate agency contracts,
    include a range of standard services that we efficiently provide for companies
    that issue  securities (obtaining the excerpt from the unique registry of shareholders in order to hold a shareholders’ assembly or in order to pay dividends/interest rates, etc., registration of equity increase/reduction, withdrawing and canceling securities, realizing transfer orders of shareholders not in agreement, etc.)

  • Organizing takeover bids

    This includes the whole set of services the bank is performing for the client who is taking over a shareholding company based on a corporate agency contract (preparing the text of the takeover bid, opening money and securities accounts, preparing documents, publishing and sending the bid to current shareholders, monitoring the legal framework of the whole transaction, etc.)

  • Organizing a squeeze-out

    Includes a range of actions and procedures performed on the basis of a corporate agency contract for clients who own 90% or more shares with voting rights in a shareholding company and who wish to gain the rest of the shares issued by that company.
